1. Introduction

These Terms of Service ("Terms") govern your access to and use of the LuxyRide mobile applications, website, and related services (collectively, the "Service") provided by LuxyRide ("we", "our", or "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

To use the Service, you must:

Be at least 18 years of age
Have the legal capacity to enter into a binding contract
Not be barred from using the Service under applicable law
Provide accurate, current, and complete information during registration

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that contain false information or that are used in violation of these Terms.

4. The Service

LuxyRide provides a technology platform that connects riders seeking transportation with independent driver-partners. We are not a transportation carrier and do not provide transportation services directly. Driver-partners are independent contractors and not employees, agents, or representatives of LuxyRide.

5. Rider Obligations

As a rider, you agree to:

Provide accurate pickup and drop-off information
Treat driver-partners with respect and courtesy
Not engage in unlawful, threatening, or abusive behavior
Not damage the driver-partner's vehicle
Pay all fares, tolls, and applicable charges promptly
Comply with all applicable seatbelt and safety laws

6. Driver-Partner Obligations

As a driver-partner, you agree to:

Hold a valid driver's licence and all permits required by Nigerian law
Maintain a roadworthy vehicle that meets LuxyRide's minimum standards
Carry valid motor insurance covering commercial use
Comply with all traffic, safety, and transport regulations
Provide service in a professional, safe, and courteous manner
Not discriminate against riders on any prohibited basis
Not solicit payment outside the Service
Submit to background checks and vehicle inspections as required

7. Fares, Payments, and Fees

Fares are calculated based on factors such as distance, time, vehicle class, and demand. You authorise us, or our payment processors, to charge your chosen payment method for all fares and applicable charges. Driver-partners receive the fare less a service fee retained by LuxyRide, with payouts made on the schedule communicated in the driver app.

You are responsible for any taxes that apply to your use of, or earnings from, the Service under Nigerian law.

8. Cancellations and No-Shows

A cancellation fee may apply if a rider cancels after a driver-partner has been dispatched, or if a driver-partner arrives at the pickup point and the rider does not appear within a reasonable wait time. Current cancellation rules are displayed in the app.

9. Prohibited Conduct

You must not:

Use the Service for any unlawful purpose
Transport illegal goods, hazardous materials, or unaccompanied minors
Carry firearms or other weapons during a trip, except where lawfully authorised
Manipulate fares, ratings, promotions, or referral programmes
Reverse engineer, decompile, or attempt to extract source code from the Service
Use the Service to harass, stalk, defraud, or harm any person
Impersonate any person or misrepresent your affiliation

10. Ratings and Feedback

Riders and driver-partners may rate one another after each trip. Consistently low ratings, verified complaints, or breaches of these Terms may result in temporary suspension or permanent removal from the platform.

11. Intellectual Property

All content, trademarks, logos, software, and other materials forming part of the Service are owned by LuxyRide or its licensors and are protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose.

12. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, LuxyRide disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

13. Limitation of Liability

To the maximum extent permitted by law, LuxyRide shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability for any claim arising under these Terms shall not exceed the total amount paid by you, or earned by you, on the Service in the six (6) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless LuxyRide, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of your use of the Service, your breach of these Terms, or your violation of any law or the rights of any third party.

15. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any breach of these Terms or for conduct that we determine, in our sole discretion, to be harmful to other users, third parties, or our legitimate business interests. You may terminate your account at any time by contacting support.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration in Abuja, Nigeria, under the Arbitration and Mediation Act 2023, by a sole arbitrator appointed by mutual agreement. The seat of arbitration shall be Abuja and the language English.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to you through the Service or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
